How exactly do you sell an "overclocked processor"? Unless the CPU itself has been physically modified so the BIOS will pick it up incorrectly, a CPU will run only within the parameters that were set at manufacturing date.
Of course, you can increase the reference clock of the motherboard outside specification, or the multiplier (provided the CPU will allow it), but both are BIOS controlled. A CPU on its own will not retain any parameters...if you remove it and plug it into another motherboard it will run at stock.
As for 3rd party warranties...depends on the country probably. I know that in most countries, the reseller is under no obligation whatsoever to provide warranty. The manufacturer themselves provide warranties however, within certain conditions.
Of course, if a reseller sold a part that was defective and outside manufacturer coverage without any warnings or disclaimers, you could pursue other legal remedies (Fit for purpose, As advertised, etc).
